Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhatsApp CRM - VPI platform available at wa.vpinformatics.in and its associated API at waapi.vpinformatics.in (together, the "Service"), operated by VP Informatics ("VP Informatics", "we", "us", "our"). By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
2. The Service
The Service lets you manage contacts, send and receive WhatsApp messages, run campaigns and automations, build forms, and manage related business workflows. Features may be added, changed, or removed at any time, and availability of specific features may depend on your subscription plan or wallet balance.
3. WhatsApp Business Platform
The Service integrates with the WhatsApp Business Platform provided by Meta Platforms, Inc. Your use of WhatsApp messaging features is also subject to Meta's WhatsApp Business Solution Terms, Business Messaging Policy, and Commerce Policy. You are solely responsible for ensuring that:
- you have obtained any consent required from a person before messaging them through the Service;
- message content, message templates, and campaigns comply with applicable law (including anti-spam and data protection law) and WhatsApp's policies; and
- your WhatsApp Business Account remains in good standing with Meta.
We are not responsible for actions taken by Meta against your WhatsApp Business Account, including suspension or restriction, whether or not related to your use of the Service.
4. Acceptable Use
You agree not to use the Service to:
- send unsolicited, unlawful, deceptive, harassing, or abusive messages, or messages to numbers you do not have a right to contact;
- transmit malware, or attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure;
- violate applicable data protection, consumer protection, or telecommunications law; or
- resell or sublicense the Service without our prior written consent.
We may investigate and take appropriate action, including suspending or terminating access, for violations of this section.
5. Google Sign-In
If you choose to authenticate using Google Sign-In, you authorize us to receive your name, email address, and profile photo from Google for the purpose of creating and accessing your account. Use of Google Sign-In is also subject to Google's own Terms of Service and Privacy Policy. You may disconnect Google Sign-In at any time from your account settings or from your Google Account permissions.
6. Fees, Wallet, and Billing
Certain features of the Service are billed on a usage basis (e.g. wallet credits consumed per message sent, conversation charges) or via subscription plans. You agree to pay all applicable fees. Wallet top-ups and subscription fees are processed by our payment processor (e.g. Razorpay) and are non-refundable except as required by law, as expressly stated at the time of purchase, or at our discretion. We may change our pricing on reasonable prior notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
7. Customer Content and Data
You retain all rights to the contact data, message content, and other content you upload to or generate through the Service ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Service to you. You are responsible for having the necessary rights and consents to upload and process Customer Content, including Contact data, through the Service.
8. Intellectual Property
The Service, including its software, design, and branding, is owned by VP Informatics and its licensors and is protected by intellectual property law. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.
9. Suspension and Termination
We may suspend or terminate your access to the Service, with or without notice, for violation of these Terms, non-payment, or conduct that we reasonably believe risks the integrity, security, or availability of the Service or the WhatsApp Business Platform access of other customers. You may stop using the Service and close your account at any time by contacting us. Sections that by their nature should survive termination (e.g. Sections 6–8 and 10–14) will survive.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that message delivery through the WhatsApp Business Platform will always succeed.
11. Limitation of Liability
To the maximum extent permitted by law, VP Informatics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold VP Informatics harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts located in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service or applicable law. Material changes will be reflected by updating the "Last updated" date above, and where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VP Informatics regarding the Service.
